The president shall preside at all meetings of the association and of the Board of Directors; shall appoint any committee positions not otherwise designated in the OSBA Bylaws or OSBA Policy, subject to the approval of the Board of Directors; shall call all regular and special meetings; and shall be an ex-officio member of all committees. The president serves for one year.

The president-elect shall assume the powers and duties of the president in their absence and, when a vacancy occurs in the office of president, shall serve in that capacity for the remainder of the term. 

The president-elect shall automatically serve as president for the following term, even if they have been required to fill an uncompleted term as president. The president-elect serves for one year. In addition, the president-elect shall assume such other administrative duties as are assigned by the president.

Duties: 

OSBA policy delegates to the board of directors the authority to create the programs of the association and to carry out association business between special and annual meetings.

As a group, the board of directors is subject to direction by a majority of association members at a regular or special meeting. As individual OSBA board members, each member reports and is responsive to the needs of the region electing the member.

As defined in the OSBA Policy Manual, board members assume responsibility by participating in the board of director meetings to fulfill the following duties:

• Carry on the necessary business of the Board. The Board may adopt policy as deemed necessary for the conduct of its business and may, in the execution of powers granted, delegate certain aspects of its authority and responsibility to the Executive Committee;
• Employ an executive director and determine this position’s compensation and duties;
• At Board meetings, fill all vacancies in any position until the next scheduled Board election;
• Meet, not less than twice annually, in accordance with the Oregon Public Meetings Law and the OSBA Bylaws;
• Determine the place, date and hour of regular Board meetings and serve, or cause to be served, proper notice in accordance with Oregon Public Meetings Law and the OSBA Bylaws;
• Adopt an annual budget for OSBA;
• Take action to approve committees and committee appointments as outlined in Section 4 of the OSBA Bylaws;
• Require an annual audit of the books of the secretary-treasurer and any other officer or employee who handles OSBA funds;
• Determine the site of the OSBA office;
• Authorize such special committees as it deems necessary for the proper operation of OSBA;
• Review the regional structure of OSBA at least every three years. Any recommended changes to the regional structure shall be submitted to the membership in accordance with Section 2.7 of the OSBA Bylaws;
• Promote the active involvement of OSBA members within the region in which the director represents;
• Prepare and distribute an impact statement for any resolution to be placed before the membership;
• Adopt, annually, an elections calendar that establishes a timetable for electing Board and LPC positions, and voting on resolutions;
• Retain a $50,000,000 reserve that may only be accessed by a two-thirds vote of both the Board and the OSBA membership;
• Fulfill responsibilities as part of the Legislative Policy Committee (see Policy 322: Legislative Policy Committee).

OSBA Board of Directors Calendar of Events

OSBA Board of Director’s attendance is requested at all OSBA Board of Directors meetings, OSBA Legislative Policy Committee meetings, and any other OSBA board committee meeting on which the Board member serves.

Attendance is encouraged at the OSBA Summer Board Conference, the OSBA Annual Convention (specifically the general session where OSBA Board members are introduced and the Region Roundtable session that corresponds with the region in which the Board member serves), and the Fall Regional meeting held in the region in which the Board member serves.

Additional opportunities may exist for attendance at other NSBA or OSBA events.
