WHEREAS, the Oregon School Boards Association (OSBA) holds its Annual Business Meeting at its Annual Convention in November of each year; and
WHEREAS, the election of officers and directors is held at the Annual Business Meeting; and
WHEREAS, voting in that election is only available for OSBA members in attendance and is not a true reflection of other districts throughout the state whose board members are unable to attend.
NOW, THEREFORE, BE
IT RESOLVED that Article VII, Section 1 of the Constitution of the Oregon School Boards Association is amended to read:
Article VII. Election of Officers and Board of Directors
Section 1: Election of officers and Board of Director members
shall be held by mail-in ballot according to procedures adopted by the Board of Directors
[take place at the annual meeting]. The terms of office of officers shall be until the next annual meeting and until their successors are elected and qualified. The terms of office of Board of Director members, other than those members from the five congressional districts and from the state at large, shall be one year and until their successors are elected and qualified. The terms of office of Board of Director members from each of the five congressional districts and from the state at large shall be two years. No non-officer Director having served two full terms shall be eligible for re-election, until at least one year has elapsed. No officer director shall serve two consecutive terms in the same office.
BE IT FURTHER RESOLVED
that the Board of Directors of the Oregon School Boards Association shall, upon approval of this resolution, establish procedures for the conduct of mail ballot elections for officers and board of director members of the association pursuant to the Constitution of the Oregon School Boards Association as amended by this resolution; and that such procedures shall take effect by the 2006 Annual Business Meeting.
