One of our charter board members has written a letter of resignation. Does the board have to meet to accept this letter? We need to know as it affects our quorum requirement.


According to Oregon Revised Statute 65.321, the letter is effective upon your receipt. Charters follow the Nonprofit Corporations section of the Oregon Revised Statutes rather than the Local Administration of Education section (except for the public meeting requirements). Since you were a six person board, this reduces the board to five and reduces the quorum requirement to three.
